What is a Special Recipient?
If you operate a Swedish company or entity where neither the CEO nor any of the board members reside in Sweden, you are obliged by law to have a Special Recipient. The Swedish Companies Registration Office keeps updated address databases based on information provided from the Swedish tax office.
A Special Recipient is, to put in layman´s terms an individual who can receive notice or be served on your companies behalf. Once the special recipient is served, the company or the board is considered to have been served.
The Special Recipient is appointed by the board and registered by the board through the Swedish Companies Registration Office (Bolagsverket).
The individual has to be of legal age, reside in Sweden, have a Swedish social security number and not be under any kind of legal guardianship. Said person should not be the auditor of the company.
This applies for a specific type of documents, such as documents from the courts, a handfull of documents from the authorities and from licensed companies acting on the governments behalf. This does not apply to ordinary mail, invoices or random senders that, by their own will, feel the need to have proof that someone received something.
What is it not?
A Special Recipient has not other mandate whatsoever, he or she, can not represent the company, not enter into agreements on the companies behalf, nor be held liable for any damages concerning what he or she is being surved with. A Special Recipient responsibility is restricted to being surved.
Non compliance
Not complying with the legal requirement of having a Special Recipient opens up the possibility for the company to be compulsory liquidated by the Swedish Companies Registration Office (Bolagsverket).
Price
Cost is 1000 sek per month ex VAT and is invoiced on a yearly basis upfront. Cost includes being served twice within said period.
Price changes incrementally for the remaining period. I.e if you get served a third time month eight, you will receive an additional invoice for a 1000 sek per month ex VAT for the remaining year (a total of four more months), and still have the possibility of being served a fourth time within the same price range and period.
A normal company, no matter its size, is served on average once a year. Usually this entails some information from a government body that they by law need to serve. To clarify, this is not the U.S.A where you get served left, right and center.
Not being served under a prepaid period does not qualify you to carry forward to the next period (as a time bank of some sorts).
Registration fee to the Swedish Companies Registration Office (Bolagsverket) is paid by you, the client (as of 2025 the fee is between 800-1000 sek and not subject to VAT). We will assist you with the application process and prepare all documents free of charge. We will also pay the registration fee on your behalf.
Another one of our demands in order for us to fulfill our duties towards your company, is access to one of the board members by phone, email and physical address. Contact should be possible to establish rapidly.

Vad är en särskild delgivningsmottagare?
Om du driver ett svenskt bolag där varken VD, ledamöter eller suppleanter är folkbokförda i Sverige, behöver ditt bolag enligt lag ha en särskild delgivningsmottagare. Bolagsverket håller uppdaterade adressregister genom folkbokföringen på Skatteverket.
En särskild delgivningsmottagare är förenklat en person som kan bli delgiven på uppdrag av ditt bolag. När den särskilda delgivningsmottagaren är delgiven är det som att anse att dit bolag är delgivet.
En särskild delgivningsmottagare utses av styrelsen och registreras hos Bolagsverket.
En särskild delgivningsmottagare måste vara myndig, folkbokförd i Sverige, ha ett svenskt personnummer och inte ha förvaltare. Visst motstånd finns mot att den särskilda delgivningsmottagaren även dubblerar som bolagets revisor (även om det inte är ett formellt förbud).
Det här gäller för övrigt en typ av dokument, alltså sådant som kommer från domstolar, ett fåtal brev från myndigheter eller skickas med av staten tillförordnad delgivningsman. Det gäller inte vanlig post, brev eller sådant som en enskild prompt tycker sig vilja ha ett kvitto på att någon har tagit emot något.
Vad är det inte?
En särskild delgivningsmottagare har inget annat mandat, hen kan inte företräda ditt bolag, ingå avtal för bolagets räkning eller har ett finansiellt ansvar kring innehållet i det delgivna materialet. En särskild delgivningsmottagares ansvar är begränsat till att ta emot handlingen i fråga.
Avsaknad av särskild delgivningsmottagare
Om du brister i regelefterlevnaden, alltså att ditt bolag saknar särskild delgivningsmottagare kan ditt bolag bli försatt i tvångslikvidation av Bolagsverket.
Pris
Kostanden är 1000 kr per månad ex moms och faktureras årsvis i förskott. I årsavgiften ingår det två delgivningar.
Priset höjs sedan stegvis. Alltså, blir du delgiven en tredje gång månad åtta så kommer du få ytterligare en faktura på 1000 kr per månad ex moms för det resterande året, alltså fyra månader till. Du har då fortfarande möjligheten att bli delgiven en fjärde gång för samma pris.
Ett normalt bolag, oavsett storlek, blir delgivna i snitt en gång per år, vanligtvis i samband med att en myndighet behöver skicka ut ett dokument där delgivning är lagstadgad. Det är alltså inget normaltillstånd att man blir delgiven om vartannat.
Om du inte blir delgiven under innevarande år så följer det inte med till nästa år, då börjar man om med två delgivningar.
Registreringsavgift tillkommer som betalas av dig eller ditt bolag (den är mellan 800-1000 kr under 2025). Vi hjälper dig med ansökan och kommer att förbereda dokument eller det digitala för signering, samt gör ordnar med utlägget för ansökningsavgiften.
Ytterligare ett av våra krav är att vi behöver ha tillgång till en person i styrelsen för att kunna fullgöra vårat åtagande, det gäller via telefon, epost och fysisk adress. Vi bör kunna få kontakt med denna förhållandevis snabbt.
